These Terms of Service ("Terms") are a binding agreement between you (or the entity you represent, "Customer") and Milo Labs, Inc. ("Milo Labs", "we", "us") governing your use of the QuotePilot service and related software, websites, and APIs (collectively, the "Service"). By creating an account or using the Service you agree to these Terms.
QuotePilot is an AI-assisted estimation tool that helps you draft quotes, proposals, and related documents. Outputs are generated using probabilistic language models and other automated systems. Outputs are drafts intended for review by a qualified human professional and may be incorrect, incomplete, or unsuitable for any particular purpose.
You are solely responsible for:
Milo Labs is not a licensed surveyor, engineer, architect, attorney, accountant, or contractor and the Service does not provide professional advice. Use of the Service does not create a professional relationship.
You must be at least 18 and have authority to bind your organization. You are responsible for all activity that occurs under your account and for keeping your credentials secure. Notify us immediately of any unauthorized access.
You agree not to: (a) use the Service to violate any law or third-party right; (b) upload content you do not have the right to upload; (c) reverse-engineer, scrape, or attempt to extract the underlying models or training data; (d) resell, sublicense, or operate the Service as a competing offering; (e) attempt to overload, probe, or circumvent security; (f) generate content that is unlawful, defamatory, or that infringes intellectual-property rights.
You retain all rights in the content you upload or generate ("Customer Data"). You grant Milo Labs a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, and process Customer Data solely to provide and improve the Service, subject to the Privacy Policy. You represent and warrant that you have all rights, consents, and licenses required to grant this license and to use any Customer Data in connection with the Service.
We may use aggregated, de-identified data derived from your usage of the Service to operate, improve, and develop our products. Aggregated data does not identify you or your customers.
If your plan is paid, fees are billed in advance on the schedule shown at signup and are non-refundable except as required by law. We may change pricing on 30 days' notice; changes apply to renewal terms. You are responsible for all taxes other than taxes on our net income.
The Service relies on third parties including Anthropic, Google, Regrid, and Railway. Their availability, accuracy, and terms are outside our control. We are not responsible for outages, errors, or changes in third-party services, and your use of those services through the Service is also subject to their respective terms.
The Service, including its software, models, designs, and trademarks, is owned by Milo Labs and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term, subject to these Terms. All rights not expressly granted are reserved.
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
The Service and all outputs are provided "as is" and "as available" without warranty of any kind, express or implied. To the maximum extent permitted by law, Milo Labs disclaims all warranties, including merchantability, fitness for a particular purpose, accuracy, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that outputs will be accurate, complete, lawful, current, or suitable for any purpose, that the Service will be uninterrupted or error-free, or that defects will be corrected.
To the maximum extent permitted by law, in no event will Milo Labs or its officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, lost business, lost goodwill, cost of substitute services, or damages arising from quotes, bids, proposals, contracts, fees, or scopes generated using the Service, even if we have been advised of the possibility of such damages.
Our aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts paid by Customer to Milo Labs for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
You will defend, indemnify, and hold harmless Milo Labs and its affiliates from and against any third-party claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of or related to (a) Customer Data, (b) your use of any output, (c) any quote, proposal, contract, or representation you make to a client or third party, (d) your violation of these Terms, or (e) your violation of any law or third-party right.
These Terms apply for as long as you use the Service. We may suspend or terminate your account at any time for breach, suspected abuse, non-payment, or to comply with law. You may terminate by closing your account. Sections that by their nature should survive (including 2, 4, 5, 8, 9, 10, 11, 12, 14, 15, and 16) will survive termination.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The exclusive venue for any dispute not subject to arbitration is the state and federal courts located in Delaware, and you consent to personal jurisdiction there.
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You and Milo Labs each waive the right to a jury trial and the right to participate in a class, collective, or representative action. Either party may bring an individual claim in small-claims court. This section does not prevent either party from seeking injunctive relief in court for misuse of intellectual property or confidential information.
We may modify these Terms by posting an updated version on this page. Material changes are effective 30 days after posting; your continued use after that constitutes acceptance.
These Terms are the entire agreement between the parties regarding the Service. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to Milo Labs must be sent to legal@joinquotepilot.com.
